1. Agreement to Terms

By accessing or using PaylabOS (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

PaylabOS provides a software-as-a-service (SaaS) platform tailored for contractors and local service businesses, including CRM capabilities, marketing automation, AI visual staging tools (PayView), and digital marketing services as outlined in your specific service agreement.

3. Market Exclusivity

We enforce a strict policy of accepting a maximum of two (2) clients per specific trade niche within a defined geographic market. Exclusivity boundaries are defined in your individual service contract. We reserve the right to define market boundaries and niche classifications.

4. Subscriptions and Payment

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring, periodic basis (monthly or annually) as specified in your agreement. Late payments may result in the suspension or termination of your access to the Service.

5. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of PaylabOS and its licensors. You retain ownership of all client data, project photos, and materials you upload to the platform.

6. Limitation of Liability

In no event shall PaylabOS, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
